Terms & Conditions

1. Scope & Agreement

These Terms and Conditions govern the provision of custom software development, cloud engineering, autonomous AI integration, modernization, and technology consulting services by 313 Tech Solutions ("Company") to commercial clients ("Client"). Individual projects are executed via formal Statements of Work (SOWs) incorporating these terms.

2. Statement of Work (SOW) Execution

Each project engagement will define: (a) functional requirements and architecture specifications; (b) milestone schedules and sprint cadences; (c) acceptance criteria and verification test suites; and (d) commercial fee structures. Any alterations to project scope are managed via written change orders agreed by both parties.

3. Intellectual Property (IP) Ownership

Full Client Ownership: Upon full payment of milestone fees, all bespoke source code, database architectures, application designs, and project documentation created specifically for the Client become the exclusive intellectual property of the Client. 313 Tech Solutions provides complete assignment of rights, ensuring no vendor lock-in.

Pre-Existing Tools: 313 Tech Solutions retains rights to proprietary background code, generic utility libraries, and pre-existing frameworks. Where incorporated, the Client is granted a perpetual, royalty-free, non-exclusive license to use and modify such assets as part of the delivered system.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all proprietary business data, system source code, trade secrets, customer records, and strategic roadmaps with the highest degree of care. Confidential obligations survive termination of service for a minimum period of three (3) years.

5. Warranty & Acceptance Period

313 Tech Solutions warrants that software delivered conforms in all material respects with the agreed functional specifications in the applicable SOW. Unless specified otherwise in an SOW, all deliverables include a thirty (30) day post-deployment warranty period during which critical defects and regressions are remediated without additional charge.

6. Commercial Invoicing & Payment

Fees are billed on fixed-milestone deliverables, time-and-materials, or dedicated engineering squad retainers as detailed in the SOW. Invoices are payable in the designated currency (USD, GBP, EUR, or INR) according to the payment schedule agreed upon.
